Terms of Service — AdsplainAI

1. Acceptance of Terms

By accessing or using the AdsplainAI platform ("Service"), operated by AdsplainAI ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and AdsplainAI.

2. Description of Service

AdsplainAI is a software-as-a-service platform that connects to your Google Ads account (with your permission) and provides:

A dashboard displaying campaign and keyword performance metrics
An AI-powered chat assistant that answers questions about your Google Ads data in plain language
Performance charts and trend analysis
Optional weekly email digest reports

AdsplainAI accesses your Google Ads data in read-only mode. We do not create, modify, pause, or delete any campaigns, ads, keywords, or other resources in your Google Ads account.

3. Account Registration

To use the Service, you must create an account by providing a valid email address and password, or by signing in with Google. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Google Ads Account Connection

By connecting your Google Ads account, you authorize AdsplainAI to access your campaign data through the Google Ads API using the OAuth 2.0 protocol. You acknowledge that:

You have the authority to grant access to the Google Ads account you connect
AdsplainAI will only read data — we will never modify your Google Ads account
You can revoke access at any time by disconnecting your account in the AdsplainAI settings or by revoking permissions in your Google account settings
Data synchronization occurs daily, and there may be a delay between changes in Google Ads and their reflection in AdsplainAI

5. Subscription and Billing

Free trial: New users receive a 14-day free trial with full access to all features.
Subscription: After the trial period, continued use requires an active paid subscription. Subscription plans and pricing are listed on our website.
Payment: Payments are processed securely through Stripe. By subscribing, you authorize us to charge the payment method on file on a recurring basis.
Cancellation: You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

6. AI-Generated Content

AdsplainAI uses artificial intelligence to generate insights, recommendations, and answers about your Google Ads performance. You acknowledge that:

AI-generated content is provided for informational purposes only and does not constitute professional advertising or financial advice
AI responses may occasionally be inaccurate or incomplete
You are solely responsible for any actions you take based on AI-generated recommendations
AdsplainAI is not liable for any losses resulting from decisions made based on AI insights

7. User Responsibilities

You agree to:

Use the Service only for lawful purposes and in accordance with these Terms
Provide accurate and complete information when creating your account
Not attempt to access data belonging to other users
Not interfere with or disrupt the Service or its infrastructure
Not reverse engineer, decompile, or disassemble any part of the Service
Not use the Service to violate any applicable laws or regulations
Comply with the Google Ads API Terms of Service when using data obtained through our Service

8. Data Usage and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in the Privacy Policy.

9. Intellectual Property

The Service, including its design, features, code, and content (excluding your Google Ads data), is owned by AdsplainAI and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your active subscription.

10. Limitation of Liability

To the fullest extent permitted by law, AdsplainAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to AdsplainAI in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Service Availability and Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We may also update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Termination

We may suspend or terminate your account if you violate these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination (including Limitation of Liability, Disclaimer of Warranties, and Governing Law) shall survive.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Pinellas County, Florida.
